Investor Considerations

Investors should carefully consider the investment objectives, risks, and terms of Understory Digital Asset Fund, LLC (the “Fund”) before investing. The Fund is offered pursuant to Rule 506(c) of Regulation D and is available only to accredited investors. This website does not constitute an offer to sell or a solicitation of an offer to buy any securities. Offers are made solely through the Fund’s Private Placement Memorandum (“PPM”), which should be reviewed carefully prior to investing. Strategy and Performance

The Fund pursues absolute-return strategies in digital assets, including discretionary trading, systematic filters, and tactical risk management. Past performance shown herein reflects prior accounts managed by the same team using substantially the same strategies and represents gross time weighted returns. Results do not reflect fund-level expenses, management allocations, or incentive interests. Past performance does not guarantee future results.

Risks of Digital Assets

Investing in digital assets involves significant risk, including the risk of total loss. Digital assets are an emerging asset class that generally operate without central authority and are not backed by any government. Prices may be highly volatile and subject to market manipulation, technological disruption, cyberattack, fraud, and regulatory change. Investors should be prepared for substantial price swings and potential illiquidity.

Fund Risks

The Fund is newly organized and has no operating history. Investments in the Fund are speculative and illiquid, and are subject to restrictions on transfer and withdrawal. There is no guarantee that the Fund will achieve its investment objectives, generate profits, or avoid losses.

No Assurance of Success

The Fund’s strategies depend on the judgment and skill of its management team. Trading systems and discretionary processes may not perform as expected in all market conditions. There can be no assurance that the Fund will generate returns comparable to historical or projected results.

Regulatory Uncertainty

Digital assets remain subject to evolving U.S. and foreign laws and regulations. Changes in regulation, taxation, or enforcement may materially affect the Fund’s strategies and operations.

Conflicts of Interest

The Fund is managed by Deeproot Fund Management, LLC (the “Manager”) and Understory’s affiliated entities. The
Manager and its affiliates may receive management fees and performance allocations. These arrangements create
potential conflicts of interest that are disclosed in the PPM.
